Monitoring & Evaluating Marketing Comm

Monitoring and evaluating marketing communications is a difficult process with imprecise outcomes. Critically review this statement for both on-line and off-line campaigns, making reference to appropriate theory, the organisation and tools previously selected. Innocent: Campaign regarding â€Å"Veg Pots† Monitoring and evaluating are different but complementary functions, which mutually reinforce one another. Monitoring is an enduring function that uses the systematic collection of data on specified indicators to provide management and the main stakeholders of an on-going development intervention.Evaluation is the systematic and objective assessment of a continuing or completed project, programme or policy, (Third International Roundtable, 2007). Monitoring and evaluating marketing communications can be a difficult process as there are no real metrics for measuring advertisements within a campaign, advertising is not seen as a scientific or mathematical process and therefore e valuating the effectiveness of the campaign holistically can be made challenging.A wide range of criteria could be used by Innocent to monitor effectiveness of the Veg Pot campaign, ranging from awareness or advertising through absorption of product message and other intermediate factors to sales, the closer the sales figures are the better. Innocent Veg Pots offline/online campaign is filled with mixed-media tools, the differences in the way different mediums work can mean that they complement one another, in a mixed-media campaign each enriches what the other conveys.Magazine ads can communicate additional ideas, and also make the television advertising work harder; billboards can result in awareness and responses’ resulting on online hits, what this shows is that monitoring but also evaluating can be done not statistically but making consumers aware of the full product campaign through all mediums. Pelsmacker et al (2004) demonstrates with the use of figure 1. 1 different tests and research how monitoring and evaluating advertising campaigns can work. Figure 1. below illustrates the advertising planning process by stages, different advertising research methods can be adopted at certain points in the planning process. Innocent’s Veg Pot campaign can work in accordance with this model, at the different planning processes Innocent can carry out the research/tests as appropriate in order to efficiently improve decision making in each process and successfully move on to the next stage knowing that previous stages are fully completed and justifiable reasoning can be made as to why the next stage was then carried forward in the planning process.The pre- test is an evaluation method but can be seen as a monitoring method in assessing whether the campaign at that time matches to the expectations of the set objectives for the campaign, objectives should be measurable in order to quantify the effectiveness of the marketing communications (Ouwersloot and Duncan, 2007), the post-test could then help evaluate how well the advertising has been, through typical methods as recall or recognition analysis as suggested by Pickton and Broderick (2005) but have been criticised for association with several methodological problems by Singh et al,(1988 pp72-80).Figure 1. 1: Stages in the development of an advertising campaign and the role of advertising and advertising research Figure 1. 2 below shows the objectives of a pre-test, they could help to monitor if the set objectives are going to be met but also the pre-tests could be carried out to see whether the created adverts for the campaign are effective from the consumers perspective this may then allow Innocent to be efficient with time and money as they have already spent a lot previously promoting the Veg Pots which have been around since 2008, (Leahul, 2008).Figure 1. 2: Objectives of a Pre-Test Monitoring website behaviour has been made easier through advances in technology over the year s, web servers automatically collect data of visitors of whom visit websites Nielsen data are one firm who analyse these views with the help of cookies it allows experts to see consumers who revisit the website or where they go after leaving the advert they had just been exposed to on a certain website which helps evaluation of effectiveness of online adverts.Viewing of television commercials tends to be relatively passive, whereas exposure to magazines is more active. The process of scanning the pages means constantly taking decisions, with relatively high attention, and this active selection is maintained throughout the reading of the issue. Typically, all or almost all of the pages of a magazine are opened, (Consterdine, 2000).Reading a magazine requires more mental engagement than viewing television, magazines are purchased voluntarily and purchased based on interest so it is likely that the consumer is to actively seek out information from that magazine, television which is ano ther of Innocents chosen mediums can however engage with more of the senses than magazines, visual stories can be formed and viewed, jingles and catchy music can be a form of retrieval cues whilst the consumer is shopping.Monitoring television can be done by investigating how many people were watching during that advert break, monitoring magazines could be done by issues sold; evaluating the effectiveness of the ad can be seen through sales after exposure, however it cannot be stated that the increase in sales is because of the adverts it could be through desirability of product and the attractiveness of the offer it has along with it.Monitoring campaigns as Innocent’s mixed media one has proven to have its difficulties but shown to be reduced by Pelsmacker et al (2004) work of test marketing, evaluating the campaign is not any easier as there are many challenges in the way. Post-testing is one possible solution to evaluating the campaign communication effectiveness.Post-test ing is carried out after an advert has been exposed to the target market the post-test hopes to find if the advert exposed has generated demand and increase sales figures. Post-test areas include media evaluation, sales affect, message content & design of the marketing communication and lastly the effect of that marketing communication on awareness, attitude, purchase intention, claimed purchase behaviour and the like, (Pickton and Broderick, 2005 and Pavlou and Stewart, 2000).Pelsmacker et al (2004) found that recognition tests which consist of ‘evaluation of message content on the basis of an awareness of the marketing communication, (Pickton and Broderick, 2005) are better than recall tests which are an ‘evaluation of message content on the basis of aided or unaided recollection of the stimulus material’ (Pickton and Broderick, 2005), in measuring ad effectiveness if this is the case then Innocent could use recognition tests to evaluate the campaign of the Veg Pots however Singh et al (1988) suggested that recall and recognition tests have methodological problems in both broadcast media and print media Pelsmacker et al (2004) did also find that in recognition tests consumers can lie or guess creating erroneous results, single ads would be more difficult for a consumer to recognise or recall but similar ads that are part of a campaign will be more likely to recognised and recalled. Innocent is creating several different adverts all in line with each other to help consumers have the thought of Veg Pots in the top of their mind whilst they are shopping or just hungry. When monitoring and evaluating the effectiveness of mixed-media campaigns special care is necessary if attempting to isolate the contributions of each medium. Isolating the effect of an advertising campaign is not always obvious’ according to Pelsmacker et al (2004), if Innocent are to fulfil their objective of increasing family consumers and advertise that free Veg Pots are available to limited consumers, that may increase the demand of the Veg Pots but the question is, is the increase in demand attributable to the advertising efforts or the attractiveness of the offer, (Pelsmacker et al, 2004), because of this it makes it difficult to assess the effectiveness of the individual tools used within the campaign to see what contributions each tool has brought. In order to assess this issue Pickton and Broderick’s (2005) concept of assessing the whole campaign through integrated marketing seems a much more appropriate method to use than struggling to assess individual tools effectiveness used within a campaign. Campaign evaluation research focusses on the effectiveness of the whole campaign rather than just one ad in which a post-test does. Integrated marketing suggests it is irrelevant to assess the effects of a single ad the effects of the whole campaign should be carried out, (Pickton and Broderick, 2005) which is agreed upon by the workings of Pavlou and Stewart (2000). Almost half of all personal computers are in the same room as the television set, and simultaneous viewing of television and access to the Internet are common,’ (Cox 1998) what this means for Innocent is that their mixed-media tools for the Veg Pot campaign work in accordance with each other suggesting that one medium helps the other in generating more and more awareness, in a campaign like Innocents it is impossible to state that effectiveness of one medium is more useful or successful than the other as it may possibly be that one medium helps the other gain its credibility for example the television advert may direct the consumer to the website for more information which then offers information regarding vouchers in certain magazines therefore creating a triangular formation of connection between the campaign tools. Figure 1. above illustrates that increasing levels of integration results in marketing com munications benefiting from synergy creating positive effects, this ties in with the work of Yeshin ( 2005) and Pelsmacker et al (2004) who stated integrated marketing is better than assessing the effects of one single medium which is irrelevant therefore the whole communications mix should be assessed, however Pickton and Broderick (2005) also state in their three levels of integration model (figure 1. 4) that not huge integration is needed like a military station just some integration is needed to keep a connection flowing through the hierarchy to avoid any communication failures. There is now wide agreement that advertising works in different ways for different products in different situations, which doesn’t have to comply with the findings of the simplistic AIDA model. Unlike the findings of Pelsmacker et al (2004) and Pickton and Broderick (2005) who talk about evaluation of effectiveness being through tests, Ouwerloot and Duncan (2007) suggest that evaluation can be done through feedback in forms of interviews, meetings and general discussion not only internally but externally out of a company too, this then creates qualitative information for a company suc h as Innocent to use constructively.Speed, scope and scale of interactivity are what the mediums Innocent had for the Veg Pot campaign allowed. The degree of the success of the campaign can to an extent be evaluated through the mediums used. The internet can be used to fill out a questionnaire relating to the Veg Pots finding out whether consumers would purchase again, where and if they saw any of the campaign relating to the Veg Pots, television commercials can direct consumers to other more informative mediums, magazines can offer coupons when they are redeemed, billboards offer awareness, all these mediums combined can be evaluated not singularly though as found by Pelsmacker (2004), Pickton and Broderick, (2005) and Pavlou and Stewart (2000). Monitoring and evaluating marketing communications is a difficult process with imprecise outcomes’ this statements to an extent has been found to be true to an extent as many challenges are faced when monitoring and evaluating as the re are no real metrics to underpin the exact effectiveness of campaign communications it is hugely based upon perceived judgement and estimated predictions it is helped however through pre and post-tests yet through those tests it is still unclear the exact amount of people the campaign proved to be a success towards. Monitoring and evaluating marketing communications of Innocent can be difficult but hardship can be reduced through different methods, by examining the objectives of the campaign of the Veg Pots and seeing whether or not they had been reached can possibly answer the question ‘has the campaign been a success,’ but the actual monitoring of a campaign can be easier than evaluating a campaign, adverts that are singularly produced and not part of a campaign can be better evaluated and monitored as there will be no other influences or support with that particular advert.Saying that monitoring and evaluating can have imprecise outcomes is not generally true as st rategies and tactics are put in place throughout campaigns an outcome is always known as measureable objectives are put in place at the beginning therefore knowing in the mind where or what the end result should be. Ethical Dilemmas Essay

Having a career in the human services field is one of the most rewarding jobs. It requires compassion, a sense of urgency and an overall desire to help others. But with the rewards the job comes with, it also does come with a handful of tough situations to come in contact with. As a human service worker, you many come across a range of clients from a family just needing assistance to a client in a life threatening situation. The importance of understanding these issues in depth and knowing how to execute the problems with the safety of the client in mind is crucial. Conchita is a twenty five year old female who has confided to her case worker that she is being sexually harassed by her classroom training instructor. Her case worker is indeed faced with a few dilemmas in Conchita’s case. As stated by the National Organization for Human Services, there are two statements that would apply to this case. Statement one which reads â€Å"human service professionals negotiate with clients the purpose, goals, and nature of the helping relationship prior to its onset as well as inform clients of the limitations of the proposed relationships (Ethical Standards, n.d.)† works directly with statement three. This statement reads â€Å"human service professionals protect the client’s right to privacy and confidentiality, except when such confidentiality would cause harm to the clients or others, when agency guidelines state otherwise, or under other stated conditions. Professionals inform client of the limits of confidentially prior to the onset of the helping relationship (Ethical Standards, n.d)†. These two statements would best suit this case due to the confidentially of Conchita’s case. Although the social worker has given her trust and privacy to Conchita, her health may be in imminent danger and therefore the confidentiality may have to be broken in order to better protect her. This all ties in with statement one because it states that as a professional you are to inform your clients that there are limits to the  social worker- client relationship. This step in the beginning stages of starting a case is extremely important for your client to understand that their health and safety matters and if need be, confidentiality will be broken to prevent further danger. In short, there are two possible solutions that come to mind when I see this case. The social worker can ignore protocol and ethical standards by respecting Conchita’s wishes and not reporting the situation; or he/she can inform Conchita on the importance of rectifying the situation, bringing the harassment to an end by filing a grievance, removing him from the classroom, and also giving her proper counseling to overcome the situation. In the end, the harassment needs to come to an end for the overall well-being of the client. If I was her case worker, I would remind her of the conversation we had when we first met. Confidentiality is very important, and I have agreed to protect her word unless I believe she is in danger. Sexual harassment can be detrimental to one’s well-being so I would have to report the inappropriate behaviors. Although it is not ethical to break confidentiality, it is legal (Mandell & Schram, 2012, pg. 516) and in the end it could save my clients from years of pain and suffering. Because it is legal and for the fact that there are legal protection such as privileged communication to support human service workers of having to open up about a situation that was promised to the client to be confidential, I would use these to my advantage to get Conchita help in her situation. Also, there may be more than one victim and by telling me what happened, Conchita may have helped others come forward. In Herman’s case, he shared with his counselor that he is no longer using controlled substances but he has recently sold some to a friend. His probation officer called his counselor to inquire about Herman and shared that he has some suspicion about Herman using and selling drugs again, and if so his parole will be revoked. When referring to the Ethical Standards for Human Service Professionals provided by the National Organization for Human Services, Herman’s situation would apply to statement three. â€Å"Human service professionals protect the right to privacy and confidentiality  except when such confidentially would cause harm to the client or others, when agency guidelines state otherwise, or under other state conditions. Professionals inform clients of the limits of confidentiality prior to the onset of the helping relationship (Ethical Standards, n.d)†. Privacy, defined as the right to be left alone (Mandell & Schram, 2012, pg. 522) is one thing that Herman believes he has to right to. Although Herman most likely confided in his counselor figuring he is protected by his right to privacy, he has put someone else’s life in danger by providing them with a drug. Also, being that he is on parole he has violated his parole order. I believe telling Herman’s parole officer would be completely unethical. Herman has confided in me because he knows that we have a confidentiality agreement and he trust me when it comes to telling me things that he normally wouldn’t tell someone. I would refer back to the ethical guidelines and read statement twenty seven which says â€Å"Human service professionals seek appropriate consultation and supervision to assist in decision-making when there are legal, ethical or other dilemmas (Ethical Standards, n.d)†. Herman’s act of selling drugs and being on parole is now touching on a legal matter, because he is not supposed to be participating in any illegal activities while on parole. I believe although it is unethical and would break the confidentiality between Herman and myself, I would tell his parole officer what he has expressed to me. He has sold drugs to a friend, which can cause harm and even result in death and more importantly he has broken the law. In the last case, Indira has admitted having sexual relations with a young man who is believed to have a sexually transmitted disease. She is extremely worried and does not know what to do but does not want to tell her parents what is going on. Indira is only fifteen years old, so to know she is a minor is very important in a case like this. Statement four of the Ethical Standards for Human Service Professionals is an important statement to remember for Indira’s case. â€Å"If it is suspected that danger or harm may occur to the client or to others as a result of a client’s behavior, the human service professional acts in an appropriate and professional manner to protect the safety of those individuals. This may involve seeking  consultation, supervision, and/or breaking the confidentially of the relationship (Ethical Standards, n.d)†. Sexually transmitted diseases are nothing to joke around about or to take lightly. As her counselor and for her being a minor, I would have to take my concerns to her parent or guardian in order to have her checked out by her doctor. Her overall health may be in danger if in fact she has had unprotected sex with someone who has a sexually transmitted disease. I would express my concern to Indira. Doing some research with Indira and educating her as to what the dangers are and what a sexually transmitted disease really is. Also, I would remind her of our confidentiality agreement and reinforce that if there are reasons for me to believe that she is in danger then I would need to call her parents or she would need to tell them herself. In the guidelines of Ethical Standards for Human Service Professionals in statement fifteen it states â€Å"human service professionals describe the effectiveness of programs, treatments, and/or techniques accurately†. This ethical standard would apply to me as the professional in Indira’s case because I would gather information on support groups, or specialty doctors to her parents in order to make sure she receives the proper care now and counseling or youth groups to support her, let her know she isn’t alone and how to be more cautious when it comes to sexual interactions in the future . The human service field can be extremely challenging at times. There will be many times that clients want to confide in you, they trust your privacy and confidentiality agreement and do tell you things they don’t just tell anyone. Some of these secrets are currently or will eventually cause harm to the client and may have legal bindings to break the privacy agreement that was made in the beginning of the counselor-client relationship. Analysis Of Frankenstein And The Metamorphosis Essay -- Franz Ka

In this essay I will analyze both Mary Shelley’s Frankenstein and Franz Kafka’s The Metamorphosis and how they use similar techniques of inquisitive questioning and unjust rejection throughout their stories in order to show how two strange â€Å"monstrosities† try to come into a culture. For instance, how seeing Gregor’s reaction to his sudden transformation, in metamorphosis, where instead of shock at how unreasonable it is, he simply remarks at the new tendencies the transformation has come with. We can better see the purpose on why Frankenstein’s monster was so obsessed with trying to integrate itself into human society. While these details at first glance might seem to be nuances of a much bigger picture they hold great importance to these characters and how they develop as the reader will see in the rest of the essay to come. To begin, let’s give a short description of Mary Shelly’s Frankenstein, Frankenstein is the story of a scientist named Victor Frankenstein who successfully managed to create an artificial lifeform, made of sewn together body parts, and known only as the monster. Although, he did succeed in creating life the monster he created only served to disgust him. He abandons his creation to its own devices and although the monster is a kind gentle soul, the repeated rejections by society and his creator only cause it pain and eventually it lashes out, first by murdering Victor’s brother, than his best friend, and finally his wife. The creature however finds no solace in any of this for even though he has gained his revenge he also destroyed the only connection to society he ever had. The creature leaves society and travels towards the north pole, where victor per sues to his de... ... middle of paper ... ...to the idea of Frankenstein’s monster as a societal outcast, and something we can see emphasized in Gregor’s character as he becomes more and more estranged by his family. The monster on multiple occasions attempts to learn and be a part of human society and culture whether it have been with gentle family he spies on in the forest, where he learns to read, write and speak from overhearing lessons from Felix to Agatha, or the time when he dived into the lake to save a girl from drowning. That despite the fact that he is rejected by society he still feels a need to be a part of it. Similar to how even though the removal of furniture from Gregor’s room would have increased the amount he had to move around with and made it easier to allow his new bug like habits. It would also have removed some connection to his family, and may even have lead to him forgetting who he is.

Theodore Roosevelt and Progressivism Despite the criticism of their reform efforts, Presidents Theodore Roosevelt and Woodrow Wilson's commitment to and success in achieving national reform made them successful progressive presidents. There hasn't yet been a presidency that didn't receive criticism, with or without justification. Roosevelt in particular, received a lot of praise and criticism for his successes and failures. Overall, however, both Roosevelt and Wilson acknowledged and were committed to bringing about changes during their presidencies. They were both good presidents for the Progressive Era. President Roosevelt was deeply criticized during his presidency. Robert La Follette, the Republican leader of Progressivism before Roosevelt, was one of Roosevelt's biggest critics. In his Autobiography: A personal narrative of political experiences, he talks about Roosevelt's reform policies, particularly his position on the Anti-Trust Law and his trust strategy in general, and how he didn't solve the problems, but only increased the growth of monopolies and the power of business (Doc E). There were also many political cartoons published which criticized Roosevelt's policies. One in particular pictures Roosevelt singing loudly his Progressive fallacies, with La Follette sulking in the background (Doc G). There was justification to criticize Roosevelt. Although he was infamous for his "square deal," taking on trusts, he busted only about half as many trusts in twice as much time as President Taft later did. The cases he did take on were high profile, and he was noisy about them. Also , he may have only fought trusts because he thought it would be riskier to ignore them. Woodrow Wilson also had policies that were controversial, and the extent of his progressivism can be questioned. Wilson's progressive attitude didn't extent to many areas. For example, he didn't reform the way government corruption occurred. He would even encourage this by giving his friends rewards and punishing his enemies. He operated on a minimal spoils system. He was also quite racist. His reform policies didn't extend to African-Americans. He appointed many Southern racists to his cabinet and was strongly opposed to black suffrage. He considered enfranchisement an evil. Wilson also didn't want to reform social injustices. Offering no support for the ratification a suffrage movement, Wilson preferred state action for women's suffrage. Child labor was another issue he considered a state matter. Reform was something Wilson only considered on certain issues. Despite questions of motive and success, Roosevelt can be considered a successful progressive president and reformer.

Importance of Stage Directions in The Glass Menagerie      Ã‚  Ã‚   In Tennessee Williams' play, The Glass Menagerie, stage directions are as important to the theme of the play as the dialogue itself. Detailed stage directions intensify the unrealistic setting, foreshadow and emphasize events, and develop the characters. Dim colored lighting and symbolic melodies create the unrealistic setting for the memory play. In his opening narration Tom says, "Being a memory play, it is dimly lighted, it is sentimental, it is not realistic. In memory everything seems to happen to music. That explains the fiddle in the wings" (699). Throughout the play the stage directions call for "a turgid smokey red glow," "gloomy gray" lighting and "deep blue dusk" which create the hazy images of a memory. For a short while, as Jim enters, there is a "delicate lemony light" (688), and a soft light from the new lamp brings out Laura's "unearthly prettiness" (695). Yet, at the end of the play, and throughout its majority, the set is grim, characteristic of Tom's sad memory. Music in the play can be symbolic or simply add to the emotion of a scene. In scene four, "Ave Maria" plays softly in the background, symbolizing Amanda's duties as a mother. Throughout the play, music swells and recedes with the rising and falling of the c haracters' emotions. For example, as Tom is confronting his mother with the reality of his sister's handicap, "the music changes to a tango that has a minor and somewhat ominous tone" (687). Describing characters' appearances and presenting messages upon the screen, the stage directions foreshadow and emphasize events. The description of Tom standing on the fire escape looking "like a voyager" (692) foreshadows his escape to th... ... actions of Amanda and Laura, an audience might believe that Laura has come out of her shell for good or that Amanda is simply an overprotective mother who cannot face reality. Yet, with the elaborate stage directions, Tennessee Williams creates a distinctive memory play with each character tragically failing to reach his or her goals. Different Business Structures

There are many types of organisational structure a business may decide to adopt. This assignment will examine the four main different business structures and present the advantages and disadvantages of each one. The business structures that I will be examining are as follows: A sole trader is an organisation, which is owned by one person. The assets and liabilities of the owner and those of the business are the same. There are no legal or tax distinctions between the owner and business. This type of business is straightforward to set up and dissolve. It requires the minimal legal requirements and costs. The owner can make all the decisions and can retain all the profits. He owns all the assets of the business. The owner can draw or invest funds into or out of the business, as he deems necessary. Business losses can be offset against other income, including claw back of past pay as you earn (PAYE). As the sole trader is self-employed, he is able to defer Income Tax and reduce his National Insurance contributions. The owner†s personal assets can be transferred to a spouse (or any other relative). However, the assets may be required to be returned by the court if it is satisfied that they were transferred to defeat creditors that were owed money. There is no legal requirement to have the accounts and records audited. No public disclosure of accounts and records is necessary, unless the business is registered for Value Added Tax (VAT). There is no requirement to register for VAT unless the taxable supplies to customers is equal to, or exceeds, the registration level. The registration level is currently ? 50,000 for a twelve-month period). The main disadvantage for being a sole trader is the unlimited liability factor. The sole trader is putting at risk his entire personal fortune including his house, car and any other personal assets in his possession that are outside the business. This is because there is no distinction between the individual (the owner) and the business. The law does not recognise the business as an artificial person (unlike a company,) and the business therefore, does not receive the benefits that would be attached if it were. If the business does become bankrupt, the owner may loose his personal fortune to pay the debts of the business. It is also true that if the sole trader becomes bankrupt, the business cannot legally continue. There are no additional funds available from equity investment by persons outside the business (third parties). This therefore, limits the businesses† growth potential. The transfer of ownership is not very flexible and the owner can only sell assets. All of the profits from the business are taxes as personal income, whether they have been retained within the business or taken out. Although self-employment reduces the National Insurance contributions payable, it also reduces the benefits of the National Insurance entitlements. The tax relief on pension contributions is restricted. If any property is transferred to the spouse it is lost to the sole trader if the marriage breaks and the spouse refuses to give it up. If the owner dies, the business comes to an end and the executives in charge of his affairs either sell it as a going concern or sell the assets individually. This is easy to set up and dissolve. There are no legal requirements to audit the accounts. No public access to the accounts ensures confidentiality. Any business losses can be offset against other income. Can be converted to a limited company at a later stage. Benefits of self-employment for income tax and National Insurance. Can attract more capital by admitting new partners, however, each partner has the right to veto the introduction of the new partner. Can get credit easily because supplies are not at risk as it is the partners who are taking the risks. A partnership can sue (and be sued) in its own name even though it is not an artificial person. Can change s19 of the Partnership Act 1890, but all partners must agree (s24 of the Partnership Act 1890). Can change provision of the 1890 Act e. g. s24 – profit and losses shared equally, but partners may provide for a different share (e. g. ?: ? rofit liability) in their agreement. If no evidence of split, their split will be equal. Every partner has legal access to inspect and copy firms books s24 (9) Partnerships Act 1890. Differing salaries may be given to partners before surplus profit is split. No doctrine of ultra vires and partnership may engage in any lawful activity as the partners† see fit. Able to access knowledge and experience of the partners. Limited to maximum of 20 people by Companies Act 1985, some professions are exempt and can have partnerships of unlimited size (e. g. solicitors, accountants, estate agents, stock brokers). Partnerships are jointly and severally liable for debts. Liability extends to private assets/personal fortune. Bankruptcy of partnership equals bankruptcy of all partners (excluding limited partners under the Limited Partners Act 1907). If a partner dies, his estate may still be liable for the businesses debts. Unless specific continuation provisions are made in the agreement, death, bankruptcy or retirement will dissolve the partnership. Less flexibility than a limited company, in transferring ownership. High level of trust required. Whether drawn or not, the profits are taxed as income. Self-employed national insurance entitlements have less benefits. Tax relief on pension contributions is restricted. Partners can be sued individually, or together by a creditor that has not been paid. However remaining partners must buy out the share of the deceased, bankrupt or retiring partner and it may be difficult to raise the necessary funds. The Business Names Act 1985 requires the names of all the members of a partnership and addresses in Great Britain where documents can be served, must be stated at all business premises so they can be easily read. Also all names must go on letterheads/documents. The formalised structures make management clearer. It is easier to widen the ownership base. There are no limits regarding contributions made to a pension scheme with tax relief. Income tax is only paid on salaries drawn. When profits are retained in the company the higher rates of personal tax can be avoided. It is very time consuming and expensive to set up as a company. There is a complex registration – registering under the Companies Acts, documents must be delivered to the Registrar of Companies and there are many related fees. The companies must conform to the relevant formalities of the Companies Act 1985. There are many requirements concerning factors such as the accounts and records, audits, share issues, directors requirements etc. The accounts and records must be made accessible to the public so competitors will have access to them. Company subject to regulation and suspension from secretary of state for trade and industry, the courts and the registrar of companies – certain accounts records to be submitted to ROC – less of confidentiality. Audit and account costs high, full audit costs if sales exceed an upper limit. Shareholders personally taxed on dividends. Double tax when company pays corporation tax on profits and capital gains. Private Limited Company (LTD company) Has no minimum value required for the allotted share capital. Can on receipt of its certificate of incorporation limited can borrow and commence business. A LTD company needs only one director and one shareholder. There is less legislation than PLC to comply with. A member can appoint only one proxy who can vote and address the meeting. Can provide financial assistance to a person to help them purchase the companies shares. It is optional for a LTD to pay dividends. A LTD company can not sell shares or debentures to the public. Has to publish accounts but gets partial exemption from publishing the full accounts, if they are bellow an upper limit. The company secretary is not required to be qualified or experienced, so there may be a lack of knowledge. Share holders can not easily sell shares due to the lack of a market and Articles of association restrictions on transfer. The Public Limited Company (PLC company) Raise capital by selling shares and debentures to the public. Needs 2 directors and 2 share holders (unless registered before 1st Nov 1929). A member can appoint more than 1 proxy who can vote but can not address meetings. The secretary must be qualified and posses the requisite knowledge and experience. Public scrutiny over accounts aids performance and efficiency. Large market for shares. No restriction on share transfer on stock exchange, USM and AIM but must keep track of who has shares. Encourages investment into company by share ownership by paying dividends. Can be exempt from the statutory requirement to have its year end accounts audited. Has legal requirement concerning allotted share capital – must be equal or greater than fifty thousand pounds. Can not exercise its borrowing powers or enter business transactions until the registrar has granted it a section 117 certificate. High degree of legislation, rule and formalities it must conform to, e. g. directors retiring at 70 years of age, minimum of 2 directors, voting for directors individually at a general meeting, share allotment. Must publish its accounts in full. Can not give financial assistance to a person to enable him to purchase the companies shares.
